Dear Board members

Neil MacKinnon has asked that I arrange a special meeting of the MGAB to present and discuss a Notice of Motion which is below.

Neil has had to go into hospital for a hip operation in Hobart and will have at least three weeks following for recovery at home. He believes the matter to be of the utmost urgency and would like as many board members to attend as possible.

Can you please confirm your availability to attend the special meeting which will be on Monday 10.00am 14 July. There are other possible dates including 10.00am 15 July, 3.00pm 17 July or 5.00pm 17 July. We will stay with the 10.00am Monday 14 July date unless a majority cannot attend.

Neil may not be able to attend depending on his recovery. If this is the case we will arrange for him to participate through teleconference facilities.

Can you please confirm availability to me please. Thank you for your consideration.

Dear MGAB members,
Notice is hereby given of a Special Meeting of the Museum Governance Advisory Board (“MGAB”) to be held at QVMAG, Inveresk on Monday 10.00am 14 July 2014.
 The purpose of the Meeting is to consider the motion listed below, notice of which is hereby given.

Notice of Motion proposed by Neil MacKinnon, Chairman

“That the Museum Governance Advisory Board recommends to the Launceston City Council (“the Council”) that Mr. Ray Norman (“Ray”)’s membership of the Board be terminated forthwith”.

Submission in Support of the Motion by the Proposer
It is with regret that I find myself proposing this motion.  However, the General Manager of the Council had made me aware that Ray has quoted privileged information he gained as a Member of the MGAB in his recent correspondence with the Council as an independent ratepayer.  The General Manager has advised me that he will in future review all information provided to the MGAB and will withhold information he deems confidential, sensitive and/or not for public disclosure while Ray is a member of the MGAB.  Further, the General Manager has advised me that information withheld may well include that which is essential to the deliberations of the MGAB and thus prevent it from providing well-founded advice to the Council.

Ray’s actions follow a pattern and it is especially disappointing to me that they follow immediately upon lengthy discussions by the MGAB at its most recent meeting about Communications Policy and board and governance best practice.

On being made aware of Ray’s use of privileged information, by telephone, I sought a face-to-face meeting with Ray to discuss the matter and express my concerns, but Ray declined.  I then expressed my concerns to Ray in the same telephone call about MGAB members not abiding by accepted communications and board best practice and, in view of Ray’s abuse of privilege, asked him to resign from the MGAB.  Ray refused.  I fully accept that I have no authority to demand the resignation of a MGAB member.  Ray did say that, if he was asked to resign by the Aldermen, he would consider it.

It is my view that, as result of the Council being likely to withhold information essential to its deliberations, the MGAB cannot be effective in advising Council while Ray remains a member of the MGAB and that, as a result, we have no option but to recommend termination of his Board membership.

I make note that the same recommendation would apply to any MGAB member, given similar circumstances.

I believe this advance notice of motion provides all Board an opportunity to give the matter due consideration.

I seek your support for the Motion and reserve my right of reply.
